Tasks and responsibilities:
First: Legal and investment affairs:
• Providing legal advice to the executive management and related departments, especially regarding investment activities and asset management
• Preparing, drafting and reviewing investment contracts and agreements, including asset management contracts, development, operation, partnerships, leasing, and others.
• Study investment opportunities from a legal perspective, analyze the systemic risks associated with them, and make appropriate recommendations
• Follow up on legal issues and disputes related to the company’s activity, coordinate with accredited law firms, and prepare periodic reports on their progress
• Preparing legal memorandums and regulatory reports, and submitting the legal opinion to the executive management and the Board of Directors when needed
Second: Corporate Governance and Compliance:
• Contribute to the preparation and updating of governance regulations, internal policies, organizational procedures, and matrices of powers, in accordance with the corporate system and the nature of company ownership.
• Follow up on the company’s commitment to applying governance principles and the decisions of the Board of Directors and the owner from a legal standpoint
• Supporting the work of the Board of Directors and its committees (Audit Committee, Remuneration and Nominations Committee, etc.) by preparing minutes of meetings, drafting decisions, and regulatory documentation.
• Participate in identifying and evaluating legal and regulatory risks, and proposing mechanisms to reduce them
Third: The relationship with relevant authorities:
• Representing the company - when assigned - before official and quasi-judicial authorities, and following up on relevant legal correspondence
• Organizing and preserving legal documents and files, and ensuring ease of reference and confidentiality
• Follow up on regulatory updates and amendments related to investment and governance, and analyze their impact on the company’s business
Requirements:
Bachelor's degree in Law, Regulations or Sharia (or equivalent)
Professional courses or certifications in law, governance or compliance are preferred. Practical experiences
Practical experience of (3-6) years in the field of legal work
Experience in drafting contracts, following up on issues, and dealing with government agencies
It is preferable to have experience in investment companies, asset management, or companies owned by non-profit entities
Experience in preparing regulations, policies and matrices of authority is an added advantage
Advanced familiarity with relevant local laws and regulations, especially the corporate system
High skills in analysis, legal drafting, and preparing regulatory memorandums
Ability to work with boards and committees
Proficiency in spoken and written English
